PART III - AGREEMENT IMPORTANT — READ CAREFULLY This End-User License Agreement is a legal agreement between you (either an individual or a single entity) and Radical Logistics, Inc. ("we," "us," or "Radical Logistics") for one or more of the following software applications (all such applications being referred to herein as the "Products"): rlDistance, rlDirectDistance, rlLTLRate, rlPackageRate, rlCityState, rlZip, rlRouteDistance, rlClosest, rlReverseGeocode.

This Agreement constitutes the complete and entire Agreement between you and us with respect to the Selected Products and supersedes any proposal or prior agreement, oral or written, and any other communications between you and us relating to the subject matter of this Agreement. By checking the "ACCEPT" box you will accept the terms of this Agreement. 1.We grant two types of licenses for our Products, "Evaluation Licenses" and "Standard Licenses." With our Evaluation License, you are permitted to use the Selected Products for up to thirty (30) days without charge. If you desire to continue the license after that date, then you are required to call us or send us an email agreeing to pay a license fee. We will then provide you with a key that will allow you to use the Selected Products indefinitely and an invoice that you are required to pay within 30 days. If you notify us that you elect to convert to a Standard License and you pay the invoice within 30 days of the date we send it to you, the term of your license will continue for so long as you comply with the terms of this license agreement. Each evaluation version of any of our Products is designed to stop operating after the expiration of 30 days without insertion of a key that converts the evaluation version to a standard version. 2.The Products are protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Products are licensed, not sold. 3.We, as Licensor, grant to you, as Licensee, a nonexclusive, nontransferable right to use the Selected Products in accordance with the terms and conditions of this Agreement – an Evaluation License for 30 days and, if you order a Standard License and timely pay the invoice, a Standard License. 4.You may install and operate the Selected Products only on a single central processing unit (CPU). You may not rent, lease, or loan this software. You may keep the original for back-up and archival purposes only and may make no additional copies. You may not copy the printed materials. 5.You may not distribute, reverse engineer, decompile, or disassemble the Selected Products, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. 6.Without prejudice to any other rights, we may terminate any license we grant to you if you fail to comply with the terms and conditions of such license. In such event, you must return your original copy of the Selected Products, including any accompanying documentation, to us, and destroy and delete any additional copies of the Selected Products, and all of their component parts, in your possession and control. 7.Any updates to the Selected Products that we may provide to you from time to time, whether with or without a separate charge, are deemed licensed to you under this Agreement. 8.This Agreement and performance hereunder, shall be governed and construed in accordance with the laws of the State of Georgia. In the event of any legal or equitable action arising under this agreement you agree that the jurisdiction and venue of such action shall lie exclusively within either the state courts of Georgia located in Clarke County, Georgia, or the U.S. District Court for the Northern District of Georgia, and you specifically waive any other venue. 9.All Products and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in Subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 52.227-19 or successor rules and regulations, as applicable. Manufacturer is Radical Logistics, Inc., 166 Beaver Trail Road, Athens, GA 30605. 10.WE PROVIDE NO WARRANTIES WHATSOEVER. WE ARE PERMITTING OR HAVE PERMITTED YOU TO USE OUR PRODUCTS ON A TRIAL BASIS BEFORE PURCHASING A STANDARD LICENSE AND YOU WILL DECIDE, OR HAVE DECIDED, WHETHER OR NOT TO PURCHASE A STANDARD LICENSE. ONCE THE STANDARD LICENSE IS PURCHASED, WE OFFER NO WARRANTIES OR REFUNDS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. 11.EXCEPT AS MAY OTHERWISE BE REQUIRED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR INCORRECT DATA, INCORRECT CALCULATIONS, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE PRODUCTS OR THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. EXCEPT AS MAY OTHERWISE BE REQUIRED UNDER APPLICABLE LAW, OUR ENTIRE LIABILITY UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE PRODUCTS OR U.S.$5.00. 12.We will make reasonable efforts to answer your questions that you email to us about the Selected Products beginning upon our receipt of your payment for the Selected Products and continuing for a term of 60 days from the date you received a key from us in connection with converting your Evaluation License to a Standard License. 13.You agree to pay any and all sales and/or use taxes that may apply to your purchase. 14.In addition to any other restrictions under this Agreement, in no event do we authorize you or anyone else to use the Selected Products where failure or inadequate performance can reasonably be expected to result in a significant physical injury or in loss of life. Any such use is entirely at your own risk, and you agree to hold us harmless from any and all claims or losses relating to such unauthorized use. 15.All rights of any kind in any of our Products which are not expressly granted to you are entirely and exclusively reserved to and by us and our licensors. 16.The fact of authorship by or on behalf of a party shall not affect the construction or interpretation of this Agreement.
